These Terms of Use (“Terms”) are a binding agreement between you and JKB Ventures LLC (“JKB Ventures,” “we,” “us,” or “our”) governing your access to and use of the Matrix iPhone application, matrixhealth.app, and related services (collectively, “Matrix”). By creating an account, downloading, accessing, or using Matrix, you agree to these Terms and our Privacy Policy.
1. Eligibility
You must be at least 18 years old, have legal capacity to enter this agreement, and use Matrix only where it is lawfully available. If you do not agree to these Terms, do not use Matrix.
2. What Matrix provides
Matrix is an educational and organizational tool that may help you record goals, protocols, schedules, nutrition, fitness, health information, and progress. Features vary by version, device, location, subscription status, and permissions. We may add, modify, suspend, or discontinue features as permitted by law.
3. No medical care or advice
Matrix is not a medical device, healthcare provider, pharmacy, emergency service, or substitute for professional care. Matrix does not diagnose, treat, cure, prevent, prescribe, or determine what treatment, product, dose, route, or schedule you should use.
Information, calculations, reminders, trends, educational materials, and AI-generated output may be incomplete, delayed, inaccurate, or wrong. Do not rely on Matrix as the sole basis for a medical or health decision. Always consult an appropriately qualified professional regarding questions about symptoms, diagnoses, medications, treatments, supplements, protocols, or laboratory results.
4. Emergencies
Do not use Matrix for an emergency or time-sensitive medical concern. Matrix does not monitor accounts for emergencies. If you believe you may be experiencing an emergency, call 911 or the applicable local emergency number immediately.
5. User-entered information and calculations
You are responsible for information you enter and for independently checking its accuracy. Any protocol, amount, concentration, route, schedule, vial measurement, or similar value comes from you. Matrix calculations perform arithmetic using your inputs and do not validate the identity, quality, safety, legality, suitability, or accuracy of a substance, protocol, or result.
6. Accounts and security
You agree to provide accurate account information, protect your credentials and device, and promptly notify us of suspected unauthorized access. You are responsible for activity under your account except to the extent caused by our failure to use reasonable security. We may require identity, account-recovery, or security steps to protect you and Matrix.
7. Your content
You retain ownership of information and files you submit. You grant JKB Ventures LLC a limited, nonexclusive, worldwide license to host, process, reproduce, transmit, display, secure, back up, and delete your content only as needed to operate Matrix, provide features you request, protect Matrix, and comply with law. You represent that you have the rights and lawful authority necessary to submit your content.
8. Apple Health and third-party services
Apple Health access is optional and controlled by Apple’s permissions. Third-party services and devices may provide information that is delayed, incomplete, or inaccurate. Their separate terms and policies apply. Matrix is not responsible for a third party’s products, services, availability, or data accuracy.
9. AI-assisted features
AI-assisted features are provided for education and organization. Output is generated probabilistically, may not be unique, and can contain errors. You must review output before using it and must not treat it as medical advice, a diagnosis, or a treatment recommendation. You may not use Matrix to generate unlawful, harmful, deceptive, or abusive content.
10. Subscriptions and Apple billing
Paid digital features, when offered, are purchased through Apple In-App Purchase. The Apple purchase screen displays the applicable price, billing period, introductory-offer eligibility, and renewal terms before you confirm a purchase. Subscriptions automatically renew unless canceled through Apple at least 24 hours before the end of the current period, subject to Apple’s applicable rules.
Apple processes billing, cancellations, and refunds under its terms. You can manage or cancel a subscription in your Apple account settings. Use Restore Purchases in Matrix when available to restore an eligible purchase. Deleting Matrix or your Matrix account does not automatically cancel Apple billing.
11. Acceptable use
You may not use Matrix to violate law or another person’s rights; submit content you do not have permission to use; access another person’s account; interfere with security or operation; introduce malware; scrape, reverse engineer, or bypass technical restrictions except where law expressly permits; misrepresent Matrix output as professional advice; or use Matrix to develop, market, or provide unlawful or unsafe products or services.
12. Intellectual property
Matrix, including its software, design, branding, interfaces, text, and other materials provided by us, is owned by JKB Ventures LLC or its licensors and is protected by intellectual-property laws. Subject to these Terms, we grant you a limited, personal, nonexclusive, nontransferable, revocable license to use Matrix for your own lawful, noncommercial purposes.
13. Feedback
If you voluntarily provide ideas or feedback, you grant us a perpetual, worldwide, royalty-free right to use it without restriction or compensation, provided we do not publicly identify you without permission.
14. Suspension and termination
You may stop using Matrix at any time and may request account deletion. We may suspend or terminate access when reasonably necessary to protect users or Matrix, comply with law, address nonpayment, investigate misuse, or enforce these Terms. Where appropriate and legally required, we will provide notice and an opportunity to address the issue.
15. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, MATRIX IS PROVIDED “AS IS” AND “AS AVAILABLE.” JKB VENTURES LLC DISCLAIMS IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND UNINTERRUPTED OR ERROR-FREE OPERATION. Nothing in these Terms excludes a warranty or right that cannot lawfully be excluded.
16. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, JKB VENTURES LLC AND ITS AFFILIATES, OFFICERS, EMPLOYEES, CONTRACTORS, AND LICENSORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, DATA, GOODWILL, OR BUSINESS INTERRUPTION ARISING FROM MATRIX.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY ARISING OUT OF OR RELATING TO MATRIX WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID FOR MATRIX DURING THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR ONE HUNDRED U.S. DOLLARS. These limitations do not apply where prohibited by law.
17. Indemnification
To the extent permitted by law, you agree to defend, indemnify, and hold harmless JKB Ventures LLC and its affiliates, officers, employees, contractors, and licensors from claims, losses, liabilities, and expenses arising from your unlawful use of Matrix, your content, or your material violation of these Terms. This section does not apply to the extent a claim results from our own conduct or where prohibited by law.
18. Governing law and disputes
These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles. Subject to any rights you cannot waive, claims relating to these Terms or Matrix will be brought in the state or federal courts located in Miami-Dade County, Florida, and you and JKB Ventures LLC consent to their jurisdiction. Before filing a claim, please contact legal@matrixhealth.app so we can attempt to resolve it informally.
19. Apple terms
Apple is not responsible for Matrix or its content and has no obligation to provide maintenance or support. If Matrix fails to conform to an applicable warranty, you may notify Apple, and Apple may refund the purchase price, if any, as permitted by Apple’s terms. Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.
20. Changes to these Terms
We may update these Terms as Matrix or applicable law changes. We will post the updated Terms with a new effective date and provide additional notice when required. Continued use after an update becomes effective constitutes acceptance where permitted by law.
21. General
These Terms and the Privacy Policy form the entire agreement between you and JKB Ventures LLC regarding Matrix. If a provision is unenforceable, it will be modified to the minimum extent necessary and the remaining provisions will remain effective. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them as part of a reorganization, financing, merger, acquisition, or transfer of Matrix.
